4) Posting Prescription Drugs
as a Seller.
4.1 Posting Process.A registered user who wants to sell/transfer Prescription Drugs may post the Prescription Drugs in the MatchRX marketplace. As part of the posting process, the Seller assigns a price to the Prescription Drugs and provides information such as the name, size, pack size, pack quantity, condition of packet, and price in accordance with the process outlined in the Seller’s section.  Seller attests that items have been stored and handled under manufacturers temperature and storage requirements, was not purchased using a government discount program or preferred pricing, and was acquired in compliance with the 2013 Drug Supply Chain Security Act (DSCSA).  Sellers may modify any field of a posting by accessing the Manage Tab > My Postings section.

4.2 Fixed Price and Declining Price Formats. A Seller who posts a Prescription Drug(s) for sale on the Site must sell/transfer such Prescription Drug(s) at a minimum discount of 10% below the prevailing Wholesale Actual Cost (WAC), when the WAC pricing is not available, the Seller must post the Prescription Drug(s) at a minimum discount of 25% below the current Average Average Wholesale Price (AAWP) per unit. AAWP discounts may not apply to generic drug posting. Pricing may vary. If a Seller posts a Prescription Drug(s) at a price outside of the parameters, an error message will notify them of the proper pricing method.  A Seller who posts a Prescription Drug (or Prescription Drugs) for sale on the Site may choose to sell/transfer such Prescription Drug in one of two pricing formats: (i) fixed price or (ii) declining price.

  • Fixed Price: the Seller sets a definite price at which the Prescription Drug(s) will sell/transfer for immediately when a Buyer places an order for the Prescription Drug(s).
  • Declining Price: based on the principle of market value, the Seller sets both a maximum and minimum price for the Prescription Drug(s). The Prescription Drug price will first appear at the maximum price and decrease incrementally every week by 10% of the difference in the prices provided until the Prescription Drugs sell/transfer or the minimum price is reached, whichever comes first.  For example, if a Seller posts a Prescription Drug on a declining basis at $500 maximum and $400 minimum ($100 difference), the price will decrease by $10 each week for 10 weeks until the Prescription Drug sells or its minimum price is reached.

4.3 Seller Responsibility. Once a Buyer makes a purchase of Prescription Drugs from a Seller, Seller is responsible for fulfilling the order with the exact Prescription Drugs that the Seller posted. The Seller may be charged a nuisance fee if Seller posts Prescription Drugs for sale and is unable to produce the exact Prescription Drugs the Seller posted. The nuisance fee is equal to the greater of 10% of the order amount or $25. MatchRX is not responsible for any errors made by the Seller in the posting or pricing of Prescription Drugs and is not liable for any such errors.

4.4 Transaction Limitations. A Buyer may purchase a maximum of $15,000 of Prescription Drugs during any transaction period (generally 7 business days).  Upon completion of the transactions, Buyer may continue to purchase other Prescription Drugs on MatchRX.  A Seller is allowed to sell/transfer a maximum of 5% of their individual pharmacy’s annual sales in any calendar year without a wholesale license in the state(s) of sale.  It is the Seller’s responsibility to apply its individual state’s laws, rules, and regulations in using the MatchRX website.  You agree to indemnify and hold MatchRX and (if applicable) any parent, subsidiaries, affiliates, officers, directors, attorneys, agents and employees, harmless against any claim or demand and all liabilities, costs and expenses (including reasonable attorneys’ fees) incurred by MatchRX and (if applicable) any parents, subsidiaries, affiliates, officers, directors, agents, attorneys and employees that arise out of any claim asserted by a third party or government agency that involves, relates to or concerns any of your actions or omissions on this Site, including but not limited to your breach of your violation of any law.

4.5 Traceability Requirements. Upon request of the Buyer at the point of purchase, MatchRX, or any governmental regulatory agency, the Seller is required to provide within 48 hours of request the pedigree of each item posted and sold on the site including but not limited to the Transaction History (aka Statement of Origin) which traces the drug from the point of manufacture and contains information about all transactions that the item undergoes until it reaches the Buyer. Beginning July 1 2015 you agree that each item posted for sale in the marketplace meets the compliance and reporting criteria of the 2013 Drug Quality and Security Act, specifically Title II – The Drug Supply Chain Security Act (DSCSA).

4.6 Substituted Prescription Drugs. Prescription Drugs posted are a representation of actual Prescription Drugs available from Seller. Prescription Drugs may not be substituted with comparable Prescription Drugs. Actual posted Prescription Drugs and amount must be provided to Buyer without variation. MatchRX reserves the right to terminate a transaction if it deems the Prescription Drugs to be suspect, counterfeit, or sample items.

4.7 Posting Limitations. A member is limited to posting and selling 30 containers of any NDC over a rolling 12 month period. This limitation is in place to prevent wholesale activity. At the time of posting an item for sale, the marketplace will restrict the quantity allowed for that specific NDC after calculating the sales history and current open postings in the marketplace. For example: Quantity sold of NDC 123 within the past 12 months = 1.  Quantity currently for sale by seller (open posting) of NDC 123 = 4.  Total allowed for new posting = 25  (30 allowed – 1 sold – 4 currently posted = 25).

4.8 Posting Limitation – Partial Packs. A member is limited to selling one (1) partial pack of any NDC over a rolling 90 day period. At the time of posting an item for sale, the marketplace will restrict the partial for that specific NDC after calculating the sales history and current open postings.

4.9 2013 Drug Supply Chain Security Act (DSCSA) – Transaction Statement. The DSCSA is contained as Title II of the 2013 Federal Drug Quality and Security Act (DQSA).  Items posted to the MatchRX marketplace must comply with the DSCSA.  Specifically, member agrees that they are authorized as required under the DSCSA, and all salable and unsalable pharmaceutical items shown (1) were received from a person that is authorized as required under the DSCSA (2) received transaction information and a transaction statement from the prior owner of the product, as required under section 582 of the DSCSA, (3) did not knowingly ship a suspect or illegitimate product, (4) had systems and processes in place to comply with verification requirements under section 582 of the DSCSA, (5) did not knowing provide false transaction information, and (6) did not knowingly alter the transaction history.

5) Finding Prescription Drugs
and placing orders as a Buyer.
5.1 Placing an Order for Transfer. To order Prescription Drugs, a Buyer first browses the MatchRX postings for Prescription Drugs that match what the Buyer is seeking. Beginning March 1 2016, when the Buyer finds desirable Prescription Drugs, the Buyer clicks on the add to cart button, selects the reason for purchase (Specific Patient Need or Declared Public Health Emergency), and confirms the purchase. The reason for purchase is the Buyers attestation that the item will be tracked in accordance with the 2013 Drug Supply Chain Security Act (DSCSA). MatchRX will debit the Buyer’s account at the time the Seller confirms the availability of the Prescription Drug and produces the packing slip and shipping label.  All offers are final and, once placed, cannot be cancelled or retracted by the Buyer. Placing an offer does not complete the sale. Sellers have two (2) business days to receive notification of an order and confirm delivery. The sale is complete when the Buyer receives the order and does not dispute the delivery within two (2) business days of receipt. After two (2) business days of Buyer’s receipt of order and no dispute of order, MatchRX will credit the Seller’s bank account the sale price less fees, shipping and handling charges (when applicable) and any other charges.  If Seller cannot produce the exact item(s) posted within two (2) business days, MatchRX may charge the Seller the greater of $25 or 10% of the purchase price.

5.2 Bank Account Authorization. The Buyer’s account is charged when Buyer places order and Seller confirms availability of the Prescription Drug. MatchRX obtains an authorization from the Buyer’s bank account for the full order amount, which equals the total Prescription Drug price, shipping and handling charges, any other applicable charges. When ordering Prescription Drugs, an authorization is sent to the Buyer’s bank account via Automated Clearing House (ACH) for each order the Buyer places. Please contact your financial institution to better understand their policies on such matters. In all cases, MatchRX is not responsible for any bank fees. A $25 fee will be accessed by MatchRX for every NSF occurrence. Multiple NSF transactions may result in temporary or permanent suspension from the marketplace. Member is required to provide MatchRX with notice of a change in bank accounts equal to five business days prior to such change in order to allow for ACH authorization.

5.3 Prescription Drug Information.Buyer should confirm all information prior to placing the order.

5.4 Seller Comments. MatchRX does not guarantee any information provided by Sellers in the Seller Comments area of Prescription Drug postings.

5.5 Orders valued at $5,000 or more. If the order value (including shipping) is $5,000 or more, buyer agrees that funds will be debited from the buyers account via:

  • Automated Clearing House (ACH): and held for (4) four additional business days in the MatchRX pending account before the seller is instructed by MatchRX to ship the order. or,
  • Wire Transfer (guaranteed funds): to the MatchRX pending account before the seller is instructed by MatchRX to ship the order, typically the same day as the wire.

In all cases, if the buyer does not provide the required funds, MatchRX reserves the right to cancel the order

6) Notifying the Seller of the order. 6.1 Notification.Once we obtain an authorization for an order from a Buyer, we notify the Seller of the sale via email and or text message that a Buyer has purchased the posted Prescription Drugs at the posted price and is willing to pay the shipping or handling charges (when applicable) for the Prescription Drug sale. At this time, MatchRX verifies the authenticity of the order and reserves the right to cancel any order that it identifies as fraudulent.

6.2 Seller’s Confirmation. In most cases the Seller confirms the order within 24 hours using our automated online confirmation process.  If the Seller has not confirmed the order within 24 hours, MatchRX will contact the Seller directly to confirm the availability of the Prescription Drug.  Upon filling the order, the Seller will execute a packing checklist confirming the Prescription Drug being shipped is identical to the posting including, but not limited to, name of Prescription Drug, quality, quantity, and size. All shipments must be in the original manufacturers packaging with a visible label displaying the NDC, lot number, and expiration date. In all cases, if the Seller does not ship the Prescription Drugs on or before the expected ship date to Buyer, MatchRX reserves the right to cancel the order at any time and charge the Seller the greater of 10% of the order amount or $25.

6.3 Seller’s Confirmation for Orders valued at $5,000 or more. If the order value (including shipping) is $5,000 or more, seller agrees to delay shipment until notice is received from MatchRX that funds have been received from the buyers bank account and are available in the MatchRX pending account. In all cases, if the seller ships the order prior to receiving notice from MatchRX of available funds, MatchRX will not be held liable for the order value if the buyer does not have funds available to settle the order.

7) Completing the sale. 7.1 Bank Account Charge. Once the Seller confirms the order, we charge the Buyer’s bank account for the total sale price, any processing fees, and the shipping and handling charges, if any. At no time do we provide the Buyer’s bank account information to the Seller. The Buyers funds are placed in the MatchRX pending account. Upon confirmation of receipt of the Prescription Drug(s) by Buyer (no later than two (2) business days after delivery of Prescription Drugs(s)), MatchRX will disburse from the pending account the sale price less fees and other related charges to Seller via direct deposit to Seller’s posted bank account through the Automated Clearing House (ACH).  We strive to complete a sale within seven (7) business days but factors such as Seller’s fulfillment of the order and shipping method chosen can expedite the process.
